These Terms of Service ("Terms") govern your access to and use of Farms.ng, including our website, profiles, content, tools, communications, and related services (collectively, the "Platform").

By accessing or using Farms.ng, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Farms.ng is a platform focused on improving visibility, trust, and decision support in Nigerian agriculture. Farms.ng is owned by NirtualVAS LTD.

Farms.ng helps farmers and agricultural participants create visible profiles, build records of activity, improve discoverability, and access practical information and tools that may support better decision-making over time.

Farms.ng may also provide access to community features, profile tools, public content, and technology features such as Zaam.

Farms.ng is not an investment platform, lending platform, brokerage, escrow service, or guaranteed marketplace unless expressly stated otherwise in writing.

To use Farms.ng, you must be able to form a legally binding agreement under applicable law. By using the Platform, you represent that:

• You are at least 18 years old, or are using the Platform with appropriate permission and supervision where legally allowed
• The information you provide is accurate to the best of your knowledge
• You will use the Platform lawfully and in accordance with these Terms

If you create an account, claim a profile, or submit farm-related information, you are responsible for:

• Keeping your details accurate and up to date
• Maintaining the confidentiality of any login credentials
• All activity that occurs through your account or profile
• Ensuring that the information you submit is truthful, lawful, and not misleading

You must not impersonate another person, misrepresent ownership of a farm, or submit information you do not have the right to provide. We may ask for information or verification to confirm profile ownership, identity, or legitimacy.

Farms.ng is built to increase visibility for farmers and agricultural activity. By submitting profile information, you understand and agree that certain content may be displayed publicly, including but not limited to:

• Farm name, address or location
• Crops or products
• Farm description and records of farming activity
• Other information you choose to make public or that is reasonably necessary for the Platform's purpose

You are responsible for the content you choose to submit. Public information may be viewed by other users, buyers, partners, search engines, and the general public.

You retain ownership of the content and information you submit to Farms.ng, subject to the rights you grant below.

By posting, uploading, submitting, or providing content to the Platform, you grant Farms.ng a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, adapt, display, publish, distribute, and process that content for the purpose of operating, improving, promoting, and providing the Platform.

This license continues until the content is deleted from the Platform, except to the extent we need to retain certain information for legal, compliance, operational, archival, safety, dispute-resolution, or backup purposes.

You represent and warrant that:

• You own or control the rights necessary to submit the content
• Your content does not violate any law or third-party rights
• Your content is not false, fraudulent, defamatory, abusive, or misleading

You agree not to:

• Use Farms.ng for unlawful, deceptive, or fraudulent purposes
• Submit false, misleading, or unverifiable farm information
• Impersonate another individual, farm, company, or organization
• Upload viruses, malware, or harmful code
• Scrape, harvest, or extract data from the Platform without authorization
• Interfere with the operation or security of the Platform
• Use the Platform to spam, harass, threaten, exploit, or abuse others
• Post content that is defamatory, obscene, hateful, discriminatory, or infringing
• Use Farms.ng to run unauthorized promotions, schemes, or misleading commercial activity
• Attempt to reverse engineer, copy, or misuse the Platform's software, systems, or underlying logic except where permitted by law

We may suspend, restrict, or remove access for conduct that violates these Terms or creates risk for the Platform or its users.

Farms.ng does not guarantee:

• Buyer discovery, sales, or financing
• Technical support, profile verification, or partnerships
• Investment or platform availability without interruption
• The accuracy or completeness of third-party or user-submitted information

Your use of the Platform is at your own risk. A visible profile, activity record, or use of Farms.ng does not guarantee any future opportunity, funding, or outcome.

Farms.ng may provide informational tools, analysis, prompts, summaries, or decision-support features, including through a system referred to as Zaam.

These tools are provided for general informational and support purposes only. They are not professional agricultural, legal, financial, medical, investment, or regulatory advice.

You are solely responsible for evaluating any suggestion, insight, or information before acting on it. Farms.ng is not responsible for losses or outcomes resulting from decisions made based on platform content, community input, or technology-generated outputs.

Farms.ng may provide access to a WhatsApp group or other community spaces. Participation is subject to these Terms and any additional community rules we may publish.

We may remove users from community spaces for behavior we consider abusive, misleading, harmful, unlawful, disruptive, or inconsistent with the platform's purpose.

Third-party services such as WhatsApp are governed by their own terms and privacy practices, and Farms.ng is not responsible for how those third parties operate.

Farms.ng may display, assign, or remove labels, profile states, activity indicators, trust signals, or verification-related markers based on platform criteria, submissions, reviews, or internal processes.

We are not required to approve or maintain any verification, status, or trust designation. We may change our verification methods and profile review processes at any time.

We will review deletion requests in line with our legal, operational, recordkeeping, dispute-resolution, backup, and safety obligations. We may retain certain information where necessary, including where required by law or where retention is reasonably necessary to protect the Platform, users, or legitimate business interests.

The Platform, including its design, structure, code, branding, logos, text, graphics, software, tools, and content created by Farms.ng, is owned by or licensed to Farms.ng and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, reproduce, republish, sell, license, or exploit any part of the Platform without our prior written permission. "Farms.ng" and related brand elements may not be used without authorization.

Your use of Farms.ng is also governed by our Privacy Policy. We process personal data in accordance with applicable law, including the Nigeria Data Protection Act 2023 and related implementation guidance, which emphasize lawful processing, transparency, purpose limitation, data minimisation, security, retention, and data-subject rights.

Please review our Privacy Policy carefully.

The Platform may include links to third-party websites, services, maps, social platforms, payment tools, analytics tools, messaging channels, or embedded content. We do not control and are not responsible for third-party services, their content, availability, terms, or privacy practices.

Your use of third-party services is at your own risk and subject to their own terms.

We may add, remove, suspend, improve, or change any part of Farms.ng at any time, with or without notice. We may also change these Terms from time to time. When we do, we will update the "Last updated" date.

Your continued use of the Platform after updated Terms are posted means you accept the revised Terms.

We may suspend, restrict, or terminate your access to Farms.ng at any time, with or without notice, if you violate these Terms, create legal or safety risk, or if we reasonably believe your content or conduct is misleading, harmful, fraudulent, or unlawful.

You may stop using the Platform at any time. Any provisions that by their nature should survive termination will continue to apply, including provisions relating to licenses, intellectual property, disclaimers, liability, disputes, and retained records.

Farms.ng is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Farms.ng disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability.

We do not warrant that the Platform will always be secure, error-free, complete, or available.

To the fullest extent permitted by law, Farms.ng, NirtualVAS LTD, and their directors, officers, employees, contractors, affiliates, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or use, arising out of or related to your use of or inability to use the Platform.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the amount you paid us, if any, in the twelve months before the event giving rise to the claim, or the equivalent of one hundred United States dollars (USD 100), whichever is lower.

Some jurisdictions may not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify, defend, and hold harmless Farms.ng, NirtualVAS LTD, and their directors, officers, employees, contractors, affiliates, and representatives from and against any claims, demands, actions, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to: your use of the Platform, your content, your violation of these Terms, your violation of any law or third-party right, or false, misleading, or unauthorized profile submissions.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. If any dispute arises out of or relates to these Terms or the Platform, the courts of competent jurisdiction in Nigeria will have jurisdiction, unless applicable law requires otherwise.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any additional policies or rules we may publish, constitute the entire agreement between you and Farms.ng regarding your use of the Platform.
